Terms of Use.
These Terms of Use govern access to and use of the Teranode website and the Council software (the “Service”), provided by Teranode AI, Inc. (“Teranode,” “we,” “us”). By accessing or using the Service you agree to these terms. If you do not agree, do not use the Service. Last updated 2026-06-27.
What the Service is.
Teranode is decision-record software. The Council runs an advisory question through independent reasoning roles and returns one structured, timestamped, role-attributed decision record that a licensed adviser reviews and signs. The Service produces a record; it does not take any action, place any trade, or contact any client.
No advice; no fiduciary or compliance relationship.
Teranode is not an investment adviser, a broker-dealer, or a law firm, and is not your firm's supervisor. The Service does not provide investment, legal, tax, accounting, or compliance advice, does not make recommendations to any client, and does not certify or guarantee that any output satisfies any legal or regulatory obligation. Output is informational only. You and your firm are solely responsible for every decision, for supervising the use of AI in your workflow, and for determining what any rule requires. Nothing in the Service or these terms creates a fiduciary, advisory, or supervisory relationship between Teranode and you, your firm, or any client.
Your responsibilities and acceptable use.
The Service is for licensed financial professionals and the firms that employ them. You agree to use it lawfully and consistently with your own regulatory obligations and written supervisory procedures, to hold the licenses and authority your use requires, and not to misuse, reverse-engineer, resell, or attempt to disrupt the Service. You are responsible for the inputs you submit and for removing client-identifying information you are not authorized to share.
Ownership of records and intellectual property.
As between you and Teranode, you own the decision records the Service produces for you and the inputs you submit. Teranode owns the Service itself, including the software, the Council prompts, the routing and synthesis logic, the model policy, the record schema, and all related intellectual property; nothing here transfers any of it to you. You grant Teranode a limited license to process your inputs solely to provide the Service and, separately and only if you opt in, to improve it as described on /privacy.
Data and retention.
How inputs and records are handled is described on /privacy and /security. By default the Service does not store your scenario text or the Council's output server-side; content is retained only on a per-run opt-in. We do not guarantee any particular retention period, backup, recovery, or continued availability of any record stored through the Service, and you are responsible for keeping your own copy of any record you need to retain. Shared records are encoded in their URL; treat a record link with the same care as the record itself.
Service provided as is.
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that any output is correct, complete, or suitable for any particular decision.
Limitation of liability.
To the maximum extent permitted by law, Teranode and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost data, or business interruption, arising out of or relating to the Service, even if advised of the possibility. To the maximum extent permitted by law, Teranode's total aggregate liability arising out of or relating to the Service will not exceed the greater of the fees you paid to Teranode for the Service in the twelve months before the claim, or one hundred U.S. dollars. Some jurisdictions do not allow certain of these limitations; in those jurisdictions our liability is limited to the smallest extent the law permits.
Indemnification.
You agree to indemnify and hold Teranode harmless from claims, losses, and expenses arising out of your use of the Service, the inputs you submit, or your breach of these terms or of any law or regulation applicable to your firm.
Governing law.
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state and federal courts located in Delaware, and you consent to their jurisdiction.
Changes and contact.
We may update these terms; material changes will be reflected by the last-updated date above, and continued use after a change means you accept it. Questions: founders@teranode.ai.
